Terms of Service

By downloading, installing, accessing, or using RelayData (the "Software"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation throughout these Terms.

If you do not agree to these Terms, you must not use the Software. These Terms constitute a legally binding agreement between you and Pylon Solutions Kft. ("RelayData", "we", "us", or "our"), a company incorporated in Hungary.

RelayData is a self-hosted, AI-native data pipeline platform. It allows you to connect, transform, and synchronise data across databases, SaaS APIs, files, and other sources — entirely within your own infrastructure.

Because RelayData runs on your infrastructure, your data is never transmitted to or processed by RelayData servers. We provide the Software; you provide the environment in which it runs.

We may offer additional cloud-hosted management services, documentation, and support under separate agreements. Those services are governed by the terms applicable to them and are not covered here unless explicitly stated.

RelayData is made available under a dual-license model:

• Open-source core: The core components of RelayData are licensed under the Business Source License 1.1 (BSL 1.1). Under BSL 1.1, you may use the Software in non-production and non-competing commercial contexts. BSL 1.1 converts to an open-source license (Apache 2.0) four years after each version's release date.
• Commercial tiers: Access to proprietary features — including advanced AI capabilities, enterprise connectors, management dashboards, and priority support — requires a valid commercial license obtained from RelayData. Your commercial license is governed by these Terms and any accompanying order form.

Subject to the terms of your applicable license, RelayData grants you a non-exclusive, non-transferable, non-sublicensable right to install and use the Software on infrastructure you control.

You may use RelayData for internal production data pipeline workloads, including:

• Connecting and synchronising databases, APIs, and files within your own systems
• Building and operating ETL/ELT pipelines for your organisation's data
• Integrating RelayData into your own internal products and workflows

The following uses are not permitted without a separate written agreement with RelayData:

• Offering a competing commercial data integration or pipeline service to third parties using RelayData as the underlying technology
• Reselling, sublicensing, or white-labelling the Software to third parties
• Providing managed or hosted versions of RelayData as a service to customers

Commercial licenses are issued via a license key tied to your organisation. You are responsible for keeping your license key confidential and must not share it with parties outside your organisation.

License keys have a defined validity period as specified in your order. Upon expiry:

• Commercial features that require a valid license key may become inaccessible or operate in a degraded mode
• Your data and pipeline configurations remain intact and accessible; expiry does not delete your data
• You may renew your license at any time to restore full access to commercial features

RelayData reserves the right to revoke a license key if we determine it has been shared in violation of these Terms or used in an unauthorised manner.

RelayData is priced as a flat deployment license. You pay a fixed annual (or multi-year) fee based on your deployment tier — not on data volume, row counts, or monthly active records. There are no consumption-based charges.

Payment terms are as specified in your order form. Invoices are due within 30 days of issue unless otherwise agreed in writing. Failure to pay by the due date may result in suspension or non-renewal of your license key.

Regarding refunds:

• Annual licenses cancelled within 30 days of the start of a new billing period are eligible for a pro-rata refund of the unused portion of that period
• No refunds are issued for partial months or for licenses cancelled after 30 days into a billing period
• All refund requests must be submitted in writing to hello@relaydata.ai

Prices are exclusive of applicable taxes. You are responsible for all taxes, duties, and levies arising from your purchase.

Because RelayData is a self-hosted product, all data processed by the Software remains within your own infrastructure. RelayData does not have access to, and does not transmit or store, your pipeline data.

You are solely responsible for the lawfulness of the data you process with RelayData, including compliance with applicable data protection laws (such as the GDPR) in respect of any personal data.

We do collect limited information about your use of our website, documentation, and license management portal. For details on how we handle that information, please refer to our Privacy Policy.

RelayData and its open-source core are licensed, not sold. Pylon Solutions Kft. retains all intellectual property rights in the Software, including all commercial features, the RelayData name, trademarks, and associated documentation.

Your data — including pipeline configurations, schemas, credentials, and outputs generated by running your pipelines — belongs to you. RelayData claims no ownership over your data and will not access it.

If you submit feedback, suggestions, or bug reports to us, you grant RelayData a perpetual, royalty-free licence to use that feedback to improve the Software, without any obligation to compensate you.

To the maximum extent permitted by applicable law, RelayData's total aggregate liability to you for any claims arising out of or relating to these Terms or the Software — whether in contract, tort, or otherwise — shall not exceed the amount you paid to RelayData in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall RelayData be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.

These limitations apply regardless of the form of action and even if any limited remedy specified in these Terms fails of its essential purpose.

The Software is provided "as is" and "as available", without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, RelayData expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Software will be error-free, uninterrupted, or free of security vulnerabilities
• Warranties as to the accuracy or completeness of any results produced by the Software

You assume all risk associated with installing and operating the Software on your infrastructure.

Either party may terminate the commercial license at any time by providing written notice to the other party. RelayData may also terminate or suspend your license immediately if you materially breach these Terms and fail to remedy the breach within 14 days of written notice.

Upon termination:

• Your right to use commercial features requiring a valid license key ceases immediately
• Your data, pipeline configurations, and self-hosted installation remain under your control — we do not delete or restrict access to your own infrastructure
• Any open-source components you use remain available under the terms of their applicable open-source license
• Provisions of these Terms that by their nature should survive (including Sections 8, 9, 10, and 12) shall survive termination

These Terms are governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Budapest, Hungary. You irrevocably submit to the personal jurisdiction of those courts.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, notify active license holders by email.

Your continued use of the Software after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Software and contact us to discuss your options.
